Please read these terms and conditions carefully before further using our website, registering, purchasing, submitting or interacting with anything on our site. By doing any of the aforementioned (whether now, or in the future) you agree to be bound by these website terms.

We reserve the right to change these Website Terms from time to time by changing them on this page. We advise you to print a copy of these Website Terms for future reference. These Website Terms are only in the English language.

Use of your personal information submitted our website is governed by our Privacy Notice and Cookies Policy.

I. GENERAL TERMS AND CONDITIONS

1. INTRODUCTION AND OUR PURPOSE

1.1. Company Details: Boof Company Limited ("BOOF", "BOOFAPP” or "BOOFAPP.CO.UK") is a company incorporated and registered in England and Wales. Our company number is 13283544. Our registered office address is at Boof Company, Kemp House, 152-160 City Road, London EC1V 2NX. Boof is a financial technology company, not a bank.
1.2. Purpose (Users) : Our mission is to allow users to discover over 67,000 businesses ("Business", "Businesses" or "Sellers") and treatments across the UK, make bookings, spread their payments seamlessly and use cryptocurrency as an acceptable payment method. 

1.2.1. Purpose (Businesses) : Our mission is to provide you with a platform that can accept bookings ("Booking" or "Bookings"), take payments with both standard payment methods and modernised payment methods such as cryptocurrency and payment spreading, become discoverable by users, and access other inclusive features beneficial to the operations of your business.

1.3. Bookings: We aim to provide a platform that allows users to make bookings ("Book", "Booking", or "Bookings") with businesses listed on our platform. Our platform allows you to communicate your interest in using the services offered listed businesses, and also allows you to book services offered by listed businesses.

1.4. Payments with cryptocurrency: We aim to provide a platform that accepts cryptocurrency as a medium of exchange, in the same way and manner standard payment methods are used.

1.5. Payment spreading ("Payment spreading", "Split Payments", "BNPL", or "Get it done now, Pay for it Later"): We aim to provide a platform that allows users to spread their payments whilst booking treatments. Payment spreading is only available to bookings using a standard payment method, in other words, bookings using standard currency, and not cryptocurrency.





 

2. BUSINESS MEMBERSHIP SUMMARY

INTRODUCTION

A Business Membership ("Business Account", "Boof Business Membership", "Seller" or "Subscriber") will allow businesses to ultimately operate with our platform ("Platform" or "Platforms") which will eventually be both web and mobile-based applications. Businesses will be able to utilise all developed features, primarily accept bookings, and will have a page specifically allocated to them which will be publicly visible and listed on our platform.

We are committed to becoming leaders within the booking industry, and that starts with having equitable operations with both users and businesses. We pride ourselves on equity, and that's why we allow listed businesses to operate on our platform without being subject to commission and awkward monthly subscriptions.

In order for a business to obtain a Business Account, they must be eligible ("Eligible" or "Eligibility"), must be operating ("Operating" or "Established") in England, Wales, Scotland or Northern Ireland and is subject to Sign Up Fee and a Monthly Subscription. 

3. WEBSITE ACCESS AND TERMS

3.1. Website Access: You may access some areas of the Website without registering your details. Most areas are open to everyone.

3.2. Acceptance of terms: By accessing any part of the Website, you indicate that you accept these Website Terms. If you wish not to accept the Website Terms, you should leave the Website immediately.

3.3. Revision of terms: We reserve the right to revise these terms at any time. You should check the Website regularly to review the current Website Terms, because they are binding on you. You will be subject to the policies and terms and conditions in force at the time you participate in any Activity ("Activity" or "Activities") available on the Website.



4. YOUR STATUS

4.1. Capacity and age: By participating in any Activity ("Activity" or "Activities") on the Website, you warrant that:
 
  • 4.1.1. You are legally capable of entering into binding contracts; and
  • 4.1.2. You are at least 18 years old
4.2. By participating in any business related Activity ("Activity" or "Activities") on the Website, you warrant that:
4.2.1. You are legally capable of entering into binding contracts; and
4.2.2. You are at least 18 years old; and
4.2.3. You are acting on behalf of a legal business entity/business, therefore entering into binding contracts on behalf of your business.


5. JOINING THE WAITLIST

5.1. Introduction: We've recently created a Waitlist ("Waitlist"), available to those waiting for our platform to release. The Waitlist is in place to notify those who join the Waitlist about our platforms ("Platform" or "Platforms") release, and any updates associated with its development or launch. You can join the waitlist directly at https://boofapp.co.uk/waitlist

5.2. The Waitlist ("Waitlist") is a promotion only available to individuals located in England, Scotland, Wales and Northern Ireland. Any entries made outside the aforementioned regions will not be valid, and therefore unable to redeem any credit ("Credit" or "Credits") if won.

5.3. The Waitlist ("Waitlist") expires on the 31/12/2021 at 23:59BST unless extended. Any entries made after the aforementioned expiry date and time will not be valid.

5.4. Entries ("Entry" or "Entries") must be made by an individual over the age of 18, and subject to clause 5.2. entries must be made by individuals residing in England, Scotland, Wales or Northern Ireland. Any entries ("Entry" or "Entries") made by an individual under the age of 18 will not be valid and therefore any credit ("Credit", "Credits" or "Platform Credits") won will not be redeemable.

5.6. Multiple entries made by the same individual will not be valid. 

5.7. In relation to clause 5.6. ("Multiple entries will not be valid") individuals can only enter into this draw once and any credit won can only be redeemed once by the same person ("Individual").

5.8. Winners ("Winner" or "Winners") will be asked to provide their full name, date of birth and address in order to redeem any won credit, and this credit will be credited into your Boof account once our app is available to download on devices.

5.9. Any Credit won ("Win", "Won", "Redeem" or "Redeemed") is non-transferable and cannot be withdrawn. Credit can only be spent on our platform and is subject to an expiry date if mentioned.
 
5.10. Unless otherwise stated, there will be up to twelve winners who will be credited with up to £100 in Platform Credit ("Credit", "Credits" or "Platform Credit"). Awardable Credit is not fixed, and therefore in event of winning credit from the Waitlist, you may receive platform credit under or over the stated amount. 

5.11. Joining the Waitlist doesn't automatically reward you Credit ("Credit", "Credits" or "Platform Credit"). The Waitlist is in place to gain traction and is draw-based which means random individuals will be chosen to be awarded credit.

5.12. By providing your name and email, you agree for us to communicate with you, send you updates and notify you of any won credit ("Credit", "Credits", or "Platform Credit").
5.13. Credit ("Credit", "Credits" or "Platform Credit") may be subject to additional terms and conditions.

 

6. REGISTERING INTEREST

6.1. Registering your interest in a Business Membership ("Business Membership", "Business Member", "Business Account", or "Boof Business Membership") essentially means you are interested in getting listed on our platform. The main aim of the programme is to communicate with future businesses working with us and shine a light within the market. By registering your interest, you are simply notifying us of your interest. You also get the chance of winning a Lifetime Business Membership as a reward for expressing your interest during our early stages.

If you are registering your interest, or already have, then the following additional terms and conditions apply:

6.2. By registering your interest, you warrant that:

 
  • 6.2.1. You are at least 18 years old; and
  • 6.2.2. You are acting on behalf of a business ("Business", "Legal Business Entity")
     
6.3. Registering your interest is free, and doesn't subject your business to any fees, commitments or liabilities.

6.4. By registering your interest, you automatically get the chance to win a Free Lifetime Business Membership, subject to clause      6.2. and the Website Terms.
6.5. By registering your interest and providing your personal details, you agree for us to communicate with you in with information, news and updates in relation to registering interest, business related information, news and updates.
6.6. By registering your interest, you may get the chance to win a Business Membership ("Business Membership", "Business Account", "Boof Business Membership" or "Seller). This doesn't mean you automatically receive a Business Membership.
6.6.1. Winners are individually and randomly chosen based on assessment. 
6.6.2. Winners ("Winner" or "Winners") will receive a Business Membership which is valid for the duration of a lifetime, subject to additional terms and conditions.
6.7. Right of Refusal, Limitation, Discontinuation and Termination: 
6.7.1. We reserve the right to refuse to provide to provide any Service for any reason at any time in our sole and exclusive discretion. We may, in our sole and exclusive discretion, limit or cancel a Business Account (User Account and Business Account) for any reason whatsoever. In the event that we make a change to limit or cancel a Business Account (User Account and Business Account), we may attempt to notify you by contacting you through your registered email and/or billing address provided at the time your Business Account was created, however failure to do so shall not result in any liability, including liability for lost data deleted as a result of the Business Account termination.
6.8. If a Business Account is acquired through registering interest and you choose to operate on the Business Account, all provisions, terms and clauses set out in the Business Terms ("Business Terms", "Business Account Terms" or "Boof Business Membership Agreement") apply to you.

7. BOOF BUSINESS MEMBERSHIP AGREEMENT ("BUSINESS TERMS")

7.1. From hereon, anything stated is part of the Boof Business Membership Agreement ("Business Membership Terms" or "Boof Business Membership Agreement") and should be construed as terms and clauses. These terms and conditions apply to any person ("Business", "Businesses", "Person") who has purchased, or are purchasing a Boof Business Membership ("Business Account", "Business Membership" or "Boof Business Membership"). By purchasing a Business Membership ("Business Membership", "Business Account" or "Boof Business Membership") you agree to have read and understood the relevant terms and conditions, namely the Boof Business Membership Agreement.

7.2. Within this agreement, namely the Boof Business Membership Agreement ("Business Terms", "Business Membership Terms" or "Boof Business Membership Agreement") the outlined terms shall mean the following:

7.2.1. "Business Membership", "Business Account" or "Boof Business Membership" shall refer to a Boof Business Membership.

7.2.2. "Platform" or "Platforms" shall refer to the not yet developed application/platform we plan to provide in the future.

7.2.3. "Subscriber" or "Subscribers" shall refer to the company, business, legal or natural individual who purchases, or has purchased a Business Account, or any product/service from BOOFAPP.CO.UK, in this case a Business Account.

7.2.4. "Subscriber" or "Subscribers" shall also refer to the signatory party who purchases a Business Account.

7.2.5. "You", 'Your", "Subscriber", "Subscribers" or "Signatory" shall refer to the subscriber of a Business Account, or any company, business, legal or natural person participating in any business related activity on this site.

7.2.6. "Our", "Us", "We", "Boof", "BOOFAPP", or "BOOFAPP.CO.UK" shall refer to our company, collectively and formally known as Boof Company Limited, and can also refer to a product/service we offer.

7.2.7. "Purchasing" or "Purchased" holds standard definition, and shall also refer to pre-ordering. "Purchasing" or "Purchased" shall refer to any money contributed to any product/service BOOFAPP.CO.UK has to offer.

7.3. By purchasing or pre-ordering a Business Account, you indicate that you accept these Business Terms, alongside the Website Terms by default.

7.4 By purchasing or pre-ordering a Business Account, you also indicate that you have carefully read and understood the Business Terms, alongside the Website Terms by default.

7.5. Capacity, Status and Age: By purchasing or pre-ordering a Business Account, you warrant that:

7.5.1. You are legally capable of entering binding contracts; and

  • 7.5.2. You are at least 18 years old; and

  • 7.5.3. You are acting on behalf of a company, business or legal business entity, therefore entering into contracts on behalf of your business.

  • 7.5.4. You are an eligible business and fit our Eligible Businesses criteria

7.5.4.1. In relation to the above clause (7.5.4) you must be an eligible business before purchasing a Business Account. By purchasing or pre-ordering a Business Account you agree to have visited our Eligibility page, or naturally consider yourself eligible. If you have purchased or pre-ordered a Business Account whilst not meeting Eligibility criteria, then you may be eligible for reimbursement under clause 7.11. and 7.12. for exceptional circumstances however only twenty percent of your payment will be reimbursed.

7.5.4. You must be a company, business, legal business entity or an individual acting on behalf of a business when purchasing or pre-ordering a Business Account. When a party purchases or pre-orders a Business Account, the subscriber is automatically presumed to be a company, business, legal business entity or an individual acting on behalf of a business in a business environment, therefore the clauses set out in the Business Terms shall be governed by the UCTA 1977 in event of litigation or dispute, and never the CRA 2017.

7.6. Right of Refusal, Limitation, Discontinuation and Termination: 

7.6.1. We reserve the right to refuse to provide to provide any Service for any reason at any time in our sole and exclusive discretion. We may, in our sole and exclusive discretion, limit or cancel a Business Account (User Account and Business Account) for any reason whatsoever. In the event that we make a change to limit or cancel a Business Account (User Account and Business Account), we may attempt to notify you by contacting you through your registered email and/or billing address provided at the time your Business Account was created, however failure to do so shall not result in any liability, including liability for lost data deleted as a result of the Business Account termination.

7.7. Revision of terms: We reserve the right to revise these terms at any time. You should check the Website regularly to review the current Business Terms, because they are binding on subscribers of a Business Account. You will be subject to the policies and terms and conditions in force at the time you participate in any Activity ("Activity" or "Activities") available on the Website.

7.8. You understand that our Platform ("Platform", "Platforms", "Boof Platform" or "Boof Platforms") has not been developed yet, and that it is in the process of development, therefore Business Accounts can only be pre-ordered and not fully purchased.

7.9. In relation to the above clause (7.8.) you understand that anything mentioned on our website in regards to our platform, its future activities, features and any other information related to our Platform ("Platforms") should not be deemed as active features nor definite. Although it is our intention to develop and incorporate everything mentioned on our Website onto our Platform, some features and activities may not be included.

7.10. You understand that only the first ten thousand businesses are automatically deemed eligible for a discount when purchasing or pre-ordering a Business Account, as part of our 'Early Bird Scheme' and any Business Account purchased or pre-ordered by a party outside this limit will not be deemed as a valid submission.

7.11. You agree to pay the sum stated when purchasing or pre-ordering a Business Account, and understand that any monetary contribution made towards this payment for the Business Account is indisputably non-refundable in its entirety and under any circumstances. Every payment includes an eighty percent administration fee, and therefore only twenty percent of your payment made towards a Business Account is refundable in exceptional circumstances such as in event of successful litigation and any exemption clauses pertinent to this matter such as the above (7.10.)

7.12. In relation to the above clause (7.11.) exceptional circumstances include successful litigation and circumstances deemed appropriate by Boof ("Boof", "Boof App", BOOFAPP.CO.UK" or "Boof Company Limited") by its sole and exclusive discretion. Any events or circumstances outside of the aforementioned shall not be deemed as acceptable grounds for compensation or remuneration including:

  • 7.12.1. The event of frustration (where the contract can no longer be performed)

  • 7.12.2. Innocent or negligent misrepresentation

  • 7.12.3. Any other grounds

7.13. In relation to clause 7.12. and 7.12.1. the term frustration covers situations where the contract can no longer be performed. This may be due to insufficient funding, the inability to find vital services necessary for the development of the platform(s). This event could hinder the development of the platform and may render development as impossible. Although this event is unlikely, you agree to understand the prospect of the aforementioned situation and agree not to use such situation as grounds towards a refund.

7.14. In relation to clause 7.12. and 7.12.2. the term “innocent or negligent misrepresentation” wishes to exclude liability for innocent misrepresentation, which covers situations where our company, or an individual, agent, or legal/natural person representing our company makes a statement to a signatory party regarding the Business Membership which subsequently renders as innocent misrepresentation. This means the statement made was false at the time of making the statement, or that the party making the statement believed it was true, or didn’t have knowledge of its sincerity.

7.15. In relation to clause 7.12. and 7.12.2. the term “innocent or negligent misrepresentation” also wishes to exclude liability for negligent misrepresentation, which covers situations where our company, or an individual, agent, or legal/natural person representing our company makes a statement to a signatory party regarding the Business Membership which subsequently renders as negligent misrepresentation. This means the statement made was false at the time of making the statement but the party making the statement had no knowledge of its accuracy/sincerity and made the statement carelessly.

7.16. You understand and agree that once the platform(s) is ready, and you conduct your business on our platform, each transaction made between you and a customer, or any other party, may be subject to a service charge which will be no higher than fifty pence, if we decide to apply a charge. The service charge would be separate from the amount you will be charging your customer, which means it wont affect you. A service charge doesn’t apply to business you conduct outside the platform, which means you can freely conduct business outside the platform, but means any transactions made on our platform, could be subject to the service charge if we decide to implement it, but will most likely be present once our platform(s) is available for use.

7.17. You understand that a Business Account ("Business Account", "Business Membership", "Merchant", "Seller" or "Boof Business Membership") is only available to businesses, and understand that if you are purchasing or have purchased a membership, you have done so whilst acting as a corporate body, and therefore the transaction is only pertinent to legislation covering business transactions in a business environment.

7.18. You understand that by purchasing or acquiring a Business Account, you will be subject to additional terms and conditions upon our Platform ("Platform" or "Platforms") release which govern the way you operate on our platform, your account, policies, billing, termination, restrictions, regulations and any other matter regarding your business and the Platform ("Platform or "Platforms") and you agree to be bound by them upon Platform and Business Account release.

7.19. Business Account and Access to Features

7.19.1. Business Accounts have unrestricted access to features such as accepting bookings, communicating with customers, automatic accounting, cryptocurrency payments and other inclusive features, however for features such as Buy Now Pay Later, subscribers will need additional approval from Boof ("Boof", "Boof App", "BOOFAPP.CO.UK" or "Boof Company Limited"), Klarna ("Klarna AB" or "Klarna") or another party partnered with Boof unless otherwise stated or otherwise decided by either facilitating parties sole and exclusive discretion.

7.19.2. In addition to the above clause (7.19. and 7.19.1.) and our Buy Now Pay Later feature, subscribers understand that our Buy Now Pay Later feature is facilitated by a third party, and by purchasing or pre-ordering a Business Account you understand that we do not cover any third party costs required by third parties, if any are present. Therefore access to features such as Buy Now Pay Later may require additional costs, unless otherwise stated. You will never be subject to additional costs, and it will always be up to the subscriber to continue with a specific feature however failure to do so may result in account termination.

7.20. In addition to the above clauses (7.19. , 7.19.1. and 7.19.2.) the subscriber understands that to grant access to the Buy Now Pay Later feature, we do not cover any additional costs required by Klarna ("Klarna" or "Klarna AB") and it is at the subscribers sole and exclusive discretion to acquire access to such feature.

7.21. Monthly subscriptions for Business Accounts:

7.21.1. By purchasing or pre-ordering a Business Account you understand that alongside a Sign Up Fee you will also be subject to a recurring monthly subscription of £13.99, unless otherwise stated. A monthly subscription only applies to Business Accounts that wish to operate on our Platform ("Platform" or "Platforms") after it is launched. You will not be required to start operating on our platform once it is launched, it is at your absolute and sole discretion. Monthly subscriptions are billed every 28 days, and grant you Business Access for a fixed period of 28 days or will run continuously until you fail to meet your monthly subscriptions.

7.22. What happens after you purchase or pre-order a Business Account:

7.22.1. Pre-ordering a Business Membership secures you a listing (public profile/page) on our platform, which will ultimately allow users to make bookings and interact with your business after our platform is released. Pre-ordering was recently introduced to communicate with businesses who join us during our early stages, reward them and also raise capital for development. After you pre-order a membership you will be greeted by our founder and/or Business Expansions, who will guide you on board.

You will be updated at every stage of development, and as we get closer to the release date of our platform our Business Expansions team will assist you with creating & managing your public profile/page and give you a comprehensive guide on how to operate on our platform - ultimately preparing you for our launch.
